Acceptance of Terms
Welcome to Paybazaar Technologies Private Limited ("PayBazaar", "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PayBazaar governing your access to and use of the PayBazaar platform, website, mobile applications, and all associated services.
By registering as a merchant, accessing the portal, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other applicable policies incorporated herein by reference.
These Terms apply to all users of the platform including merchants, distributors, retailers, and any other person accessing the PayBazaar services.
Definitions
For the purposes of these Terms, the following definitions shall apply:
- "Platform" means the PayBazaar website (www.paybazaar.co.in), mobile application, merchant portal and all associated digital infrastructure.
- "Merchant" or "User" means any individual or entity registered on the Platform to provide digital financial services to end customers.
- "Services" means all digital financial services offered through the Platform including AEPS, DMT, BBPS, Mobile Recharge, Micro ATM and related offerings.
- "Transaction" means any financial operation processed through the Platform on behalf of an end customer.
- "Commission" means the fee or percentage payable to the Merchant upon successful completion of a Transaction.
- "KYC" means Know Your Customer verification documents and processes as mandated by applicable law.
- "Wallet" means the digital wallet maintained by PayBazaar for each Merchant to facilitate transactions.
Eligibility
To register and use the PayBazaar Platform as a merchant, you must satisfy the following eligibility criteria:
- You must be at least 18 years of age at the time of registration.
- You must be a citizen of India or an entity duly incorporated or registered under applicable Indian laws.
- You must possess a valid Aadhaar Card and PAN Card for KYC verification.
- You must have a valid and active bank account in India for commission payments.
- You must have a valid mobile number linked to your Aadhaar for OTP verification.
- You must not have been previously barred or suspended from using the PayBazaar Platform.
- You must have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872.
PayBazaar reserves the right to refuse registration or terminate any account that does not meet the eligibility criteria or has provided false information during the registration process.
Account Registration & KYC
To access the PayBazaar services, you must create a merchant account by completing the registration process and successfully completing KYC verification.
4.1 Registration Process
- Provide accurate, complete and current information during registration.
- Submit all required KYC documents including Aadhaar, PAN, selfie and bank details.
- Await verification and account activation (typically within 24 business hours).
4.2 Account Security
- You are solely responsible for maintaining the confidentiality of your login credentials.
- You must not share your username, password, or OTP with any third party.
- You must immediately notify PayBazaar of any unauthorised access to your account.
- PayBazaar shall not be liable for any loss arising from your failure to protect account credentials.
You agree to update your account information promptly if there are any changes to the details provided during registration, including changes to your bank account or contact information.
Services Offered
PayBazaar currently offers the following digital financial services through its Platform. These services are subject to availability, applicable regulations, and PayBazaar's internal policies:
- AEPS (Aadhaar Enabled Payment System) — Cash withdrawal, balance enquiry, mini statement and Aadhaar-to-Aadhaar fund transfer using biometric authentication.
- Domestic Money Transfer (DMT) — Instant fund transfers to any bank account across India.
- Bill Payments (BBPS) — Payment of utility bills including electricity, gas, water, DTH, broadband and insurance premiums.
- Mobile Recharge — Prepaid mobile and DTH recharge for all major operators.
- Micro ATM (mATM) — Card-based banking transactions using portable swipe devices.
- Cash Management System (CMS) — Cash deposit to any bank account through merchant points.
PayBazaar reserves the right to add, modify, suspend, or discontinue any service at any time without prior notice. Any new services will be governed by these Terms unless otherwise specified.
Merchant Obligations
As a PayBazaar merchant, you agree to the following obligations:
6.1 Compliance
- Comply with all applicable laws, regulations, RBI guidelines, and UIDAI policies governing the provision of financial services.
- Obtain all necessary licences, permissions, or approvals required to operate as a business services provider in your jurisdiction.
- Maintain accurate records of all transactions conducted through the Platform.
6.2 Customer Service
- Provide accurate information to end customers regarding the services being offered.
- Charge customers only the permitted fees as communicated by PayBazaar from time to time.
- Not mislead or deceive customers about the nature, fees, or outcomes of any transaction.
6.3 Wallet Management
- Maintain sufficient wallet balance to process customer transactions without disruption.
- Load the wallet only through approved and verified payment methods.
- Not use the wallet for any purpose other than processing legitimate customer transactions.
Fees, Commissions & Payments
PayBazaar shall pay commissions to registered merchants for each successfully completed transaction as per the commission structure communicated at the time of onboarding or as updated from time to time.
- Commissions are credited to the merchant's wallet upon successful completion of each transaction.
- PayBazaar reserves the right to revise commission rates with 7 days' prior notice to merchants.
- Commissions on disputed, failed, or reversed transactions shall not be payable.
- All commissions are subject to applicable TDS deductions as per Indian Income Tax laws.
- Wallet balance withdrawal to bank account shall be processed within 1–2 business days subject to verification.
- PayBazaar shall not be responsible for delays in settlement caused by banking or technical issues beyond its control.
Any commission paid in error or as a result of fraudulent activity may be reversed or deducted from the merchant's wallet at PayBazaar's sole discretion.
Prohibited Activities
The following activities are strictly prohibited on the PayBazaar Platform. Any violation may result in immediate account suspension, termination, and/or legal action:
- Processing fraudulent, fictitious, or unauthorised transactions.
- Using the Platform for money laundering, terrorist financing, or any other illegal activity.
- Conducting AEPS transactions without the customer's physical presence and biometric consent.
- Creating multiple merchant accounts or sharing account credentials with third parties.
- Misrepresenting yourself or your business to PayBazaar or to end customers.
- Attempting to hack, reverse engineer, or interfere with the Platform's security or functionality.
- Overcharging customers beyond the fees permitted by PayBazaar.
- Using automated bots, scripts, or tools to manipulate transaction data or wallet balances.
- Reproducing, copying, or distributing PayBazaar's proprietary content without written permission.
Intellectual Property
All content, branding, software, trademarks, logos, designs, text, graphics, and other materials available on the PayBazaar Platform are the exclusive property of Paybazaar Technologies Private Limited and are protected under applicable Indian and international intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.
- You may not use PayBazaar's trademarks, logos, or branding in any marketing or promotional material without prior written consent.
- Any feedback, suggestions, or ideas submitted to PayBazaar may be used freely without any obligation of compensation.
Limitation of Liability
To the fullest extent permitted by applicable law, PayBazaar and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:
- Your use of or inability to use the Platform or its services.
- Unauthorised access to or alteration of your transmissions or data.
- Technical failures, system downtime, or interruptions in service.
- Errors or omissions in any content or information on the Platform.
- Transactions that fail due to reasons beyond PayBazaar's reasonable control.
- Losses resulting from third-party service provider failures (banks, NPCI, UIDAI).
In no event shall PayBazaar's total aggregate liability to any merchant exceed the total commissions paid to that merchant in the 30 days preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless PayBazaar, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:
- Your breach of these Terms or any applicable law or regulation.
- Any fraudulent, illegal, or unauthorised transactions conducted through your account.
- Any misrepresentation made by you to PayBazaar or to end customers.
- Any third-party claim arising from your use of the PayBazaar Platform.
Termination & Suspension
PayBazaar reserves the right to suspend or terminate your merchant account at any time, with or without prior notice, if:
- You violate any provision of these Terms or PayBazaar's policies.
- Fraudulent or suspicious activity is detected on your account.
- You fail to maintain the required KYC compliance or your KYC documents expire.
- You are found to be involved in any illegal, unethical, or prohibited activity.
- PayBazaar is required to do so by any applicable law, regulation, or court order.
Upon termination, any pending wallet balance (after deducting applicable dues, disputes, or penalties) shall be settled to your registered bank account within 7–14 business days, subject to verification.
You may also request voluntary termination of your account by contacting PayBazaar's support team. Pending transactions and dues must be settled before closure.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
Dispute Resolution Process
- Step 1 — Informal Resolution: Raise your concern with PayBazaar's support team at support@paybazaar.co.in. We aim to resolve most issues within 7 business days.
- Step 2 — Arbitration: If the matter is unresolved, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
- Step 3 — Court: Any unresolved matters shall be subject to the jurisdiction of competent courts in Gurugram, Haryana.
Amendments to Terms
PayBazaar reserves the right to modify, update, or revise these Terms at any time. When changes are made:
- The updated Terms will be posted on our website with a revised "Last Updated" date.
- For material changes, we will notify registered merchants via SMS or email at least 7 days in advance.
- Your continued use of the Platform after the effective date of changes constitutes your acceptance of the revised Terms.
- If you do not agree with the revised Terms, you must stop using the Platform and request account closure.
We encourage you to periodically review these Terms to stay informed about your rights and obligations as a PayBazaar merchant.
